Terms of service
dhivi POS is a Dhivi iTechnologies product. These terms are an agreement between Dhivi iTechnologies, a proprietorship registered in India ("we", "us"), and the business that creates a dhivi POS account ("you"). They cover the dhivi POS website, the POS, the back office, the account console and every other dhivi POS application (together, "the service"). By creating an account or using the service, you agree to them. If you use the service for a business, you confirm that you may agree to them on its behalf.
How we handle personal data is in our privacy policy, which is part of these terms.
1. The service
dhivi POS lets a shop bill customers, keep stock, track customers, dues and suppliers, and run its back office. What each plan includes, and its limits on shops, people and bills, is shown in the account console. We improve the service over time, and may change or retire a feature. If a change takes away something a paid plan relies on, we tell account owners first.
2. Your account
- Give true details when you sign up, including your business's legal name and GSTIN where you have one, and keep them up to date.
- Keep passwords and PINs private. You are responsible for what happens under your account, including what your staff do with the access you give them. Tell us at once if you think someone has used your account without permission.
- The service is for businesses. You must be at least 18 years old to create an account.
3. Plans, payment and taxes
- The Starter plan is free for one shop. Paid plans are billed in advance for the period you choose: a month, 3 months, 6 months or a year. Prices are shown without GST, and GST is added to the invoice.
- When you move to a larger plan in the middle of a paid period, you pay the difference for the days that are left. Your renewal date does not change.
- If a payment is not made by its due date, you have 7 days of grace. After that the paid applications become read-only and the POS stops billing until the invoice is paid. Your records are kept, and you can still export them.
- Payments made to us are not refunded, except where the law requires it or where we agree to it in writing.
- We may change our prices. A new price applies from your next renewal, and we tell you before it does.
4. Your data
- Your business's records belong to you. You allow us to store and process them only to provide the service to you, as our privacy policy describes.
- You can download a full copy of your records from the account console at any time, and ask us to delete your account, as described on Delete my data.
- When you record your own customers' details in dhivi POS, you decide what to collect and why, and you are responsible for having a lawful reason to keep them and for answering their requests about their data.
5. Your responsibilities
- Tax and records. dhivi POS prepares GST invoices and reports from what you enter. You remain responsible for the accuracy of your prices, tax rates and returns, and for filing them.
- Messages to customers. If you send SMS, WhatsApp or email messages through the service, you must have your customers' consent where the law asks for it, and follow the TRAI rules on commercial messages, including registering your templates where required.
- Payments to you. If you connect your own payment account, the payments to you are between you, your customer and that payment provider, under their terms.
6. What you must not do
- Use the service to sell anything illegal, to break any law, or to deceive anyone.
- Try to reach another business's data, get around a plan's limits or the service's security, or break or overload the service.
- Copy, resell or rent out the service, or take its software apart, except as the law allows.
- Send messages people have not agreed to receive.
7. Availability
We work to keep the service running every hour of every day, and the POS keeps billing without the internet and sends its bills when the connection is back. We cannot promise the service will never be interrupted: we sometimes need maintenance, and the providers we rely on can fail. You can see the service's current state at status.dhivi.app.
8. Suspension and closing an account
- You can close your account at any time.
- We may suspend or close an account that breaks these terms, puts the service or other businesses at risk, or that the law requires us to stop. Where we can, we tell you first and give you time to put it right or to export your records.
9. Our responsibility to you
We provide the service with reasonable care and skill. Apart from that, and as far as the law allows, the service is provided as it is, without other promises. We are not responsible for losses you could not reasonably have expected, such as lost profits or lost business, or for losses caused by events outside our control.
As far as the law allows, our total responsibility to you for any claim about the service is limited to what you paid us for the service in the 12 months before the claim arose. Nothing in these terms limits a responsibility that the law does not allow to be limited.
10. Changes to these terms
We may update these terms. We change the date at the top, and tell account owners by email or in the app before a change that matters to them takes effect. If you keep using the service after that, the new terms apply.
11. Law and disputes
These terms are governed by the laws of India. If a dispute comes up, write to us first and we will try to settle it together. If it cannot be settled, the competent courts in India will decide it.
